Welcome to Toonyug.com! These Terms and Conditions (“Terms”) govern your purchase and use of animated characters (“Characters”) from Toonyug. Please read these Terms carefully before proceeding with any purchase. By purchasing a Character, you agree to be legally bound by these Terms. If you do not agree with any part of these Terms, you are prohibited from purchasing or using the Characters. These Terms are designed to comply with applicable laws, including the Indian Copyright Act, 1957, and international intellectual property standards such as the Berne Convention, ensuring a fair and transparent relationship between Toonyug and its users.

1. License Grant

. License Type & Usage Rights

When you purchase any 2D character or digital product from our store, you are granted a license to use the product, not full copyright ownership.

Under this license, you may:

  • Use the product in your personal or commercial projects (videos, animations, games, presentations, etc.).

  • Use it on websites, social media posts, and promotional materials.

  • Modify or edit the product (color, size, or minor changes), as long as you don’t resell or redistribute it as your own product.

⚠️ Note: Buying a license does not transfer copyright ownership.
All copyrights remain with the original creator or designer.

. Exclusive vs. Non-Exclusive License

By default, our products are sold under a Non-Exclusive License (unless specifically marked as “Exclusive”).

This means:

  • The same product may be licensed to multiple customers.

  • Each customer has equal usage rights, but cannot claim ownership or copyright against others who also licensed the same product.

🟢 Exclusive License (Special Order):
Customers who wish to be the only one using a particular product can purchase an Exclusive License (available at a higher cost).
Once an Exclusive License is issued, that product will no longer be sold or licensed to anyone else.

. Copyright Ownership

  • All characters, artworks, and designs are protected by copyright and remain the property of the original creator.

  • Customers receive usage rights only, not ownership of the artwork.

  • Customers cannot register the product or design as their brand logo or trademark unless they have purchased an Exclusive License.

. Redistribution & Resale

Customers are not allowed to:

  • Resell, share, distribute, or transfer the product to any third party.

  • Re-upload or list the product on any marketplace or stock website.

  • Claim the product as their own original creation.

If any of these actions occur, the license will be considered terminated immediately.

The Licensor grants the Licensee a non-exclusive, non-transferable, worldwide license to use, edit, and publish the purchased digital asset in personal or commercial projects, subject to the following conditions:

  1. Authorized Usage Limit:

    • The asset may be used only on up to 5 personal/owned channels or platforms specified by the Licensee at the time of purchase.

    • Any additional usage requires an upgraded or extended license.

  2. Limited Collaboration Rights (2 Guest Channels):

    • Licensee is allowed to feature the final rendered video/content (not the source files) on a maximum of 2 external guest or collaboration channels.

    • Under no circumstances may the original source files (PSD, PNG master, rig, animation project files, etc.) be shared, transferred, or given to collaborators.

  3. Ownership & Restrictions:

    • All intellectual property rights remain solely with Toonyug (Licensor).

    • Redistribution, resale, sublicensing, sharing, or uploading of asset files to any asset marketplace, cloud storage for public access, or third-party is strictly prohibited.

    • Unauthorized use beyond the terms will result in license termination and possible legal action or takedown.

. Clarification for Multiple Users

Sometimes the same product may be licensed to more than one customer under a Non-Exclusive License.
In such cases:

  • Each customer has equal usage rights.

  • No one can claim copyright or ownership against another user.

Example:
If Character “A” is licensed to both you and another buyer, it simply means both of you have the right to use it independently in your own projects.
It does not mean one person owns the other’s rights.

  • ADDENDUM — USAGE LIMITS & COLLABORATION RULES
  1. Authorized Channels
  • This license permits use of the purchased asset only on the channels/platforms explicitly authorized at time of purchase (e.g., up to 5 YouTube channels). The Licensee must provide Channel URLs and Channel IDs when requested.
  1. Collaboration & Guest Uploads
  • Collaborations are allowed only if the final exported video is uploaded to an authorized channel owned/controlled by the Licensee. Guest creators may appear in the video but must not receive or host the original asset files.
  1. No Redistribution of Source Files
  • Transfer, sharing, resale or distribution of original/editable asset files (PSD, AI, PNG master files, rigged puppets, layered source files, etc.) to any third party is strictly prohibited.
  1. Delivery & Access Controls
  • Licensor will provide asset files via secured, time-limited download links. Licensee download privileges may be limited. Do not repost or re-share these links. Each delivered file will include an embedded License ID for traceability.
  1. Verification & Audit
  • Licensor may request proof of channel ownership or usage (channel About-page screenshot, Channel ID). Licensor reserves the right to audit or verify license compliance and to suspend or revoke access on reasonable suspicion of misuse.
  1. Remedies for Breach
  • Unauthorized redistribution or use beyond authorized channels will result in immediate license termination, takedown notices, and may incur liquidated damages as specified in the main agreement.
  1. Upgrades & Add-ons
  • Need more channels or permission to share with collaborators? Purchase an add-on (Extra Channels or Studio/Multi-User License) before distributing the asset beyond the allowed scope.
. Support & Updates

  • After purchase, customers will receive any future updates or improvements made to the product (if applicable).

  • Support is available only to the original buyer and cannot be transferred.

. Violation & Legal Action

Unauthorized use, redistribution, or sale of our products is considered a copyright infringement.
The original creator and Toonyug reserve the right to take appropriate legal action against such violations.

Upon purchasing a Character from ToonYug, you are granted a non-exclusive, non-transferable, revocable license to utilize the Character for personal or commercial purposes, subject to the conditions outlined herein. This license is governed by the provisions of Section 30 of the Indian Copyright Act, 1957, which permits the copyright owner to grant licenses for specific uses.

  • Permitted Uses: You may incorporate the Character into an unlimited number of projects, including digital media, websites, advertisements, or other creative works, provided such use aligns with these Terms.
  • Restrictions on Resale and Redistribution: You are expressly prohibited from reselling, redistributing, or transferring the Character (whether in its original form, modified, or as part of a bundle) to third parties. Any such action constitutes a violation of Section 51 of the Copyright Act, 1957, which addresses infringement of copyright.

🔹 What Permissions Toonyug License Provides & How Buyers Stay Safe

✅ What the Buyer is Allowed to Do (License Permissions):

  • The buyer receives a non-exclusive commercial license to use the asset in YouTube videos, client projects, monetized content, advertisements, games, films, or animation projects.

  • Editing/Modification is allowed — colors, outfits, animation, backgrounds, or other creative changes can be made.

  • The asset can be used on up to 5 owned channels/platforms (declared at the time of purchase).

  • The final video (not source files) may be used for collaboration on up to 2 additional guest channels.

  • The license is lifetime/perpetual, meaning the buyer can continue using the asset forever (as long as the terms are followed).

❌ What is Not Allowed (Restrictions to Protect the Asset):

  • No sharing, selling, or transferring of original editable files (PSD, PNG master, AI, rig files, etc.) to any third party.

  • No redistribution or resale on marketplaces, cloud storage for public access, or asset libraries (e.g., Freepik, Fiverr, Pinterest, etc.).

  • Assets cannot be used for AI training datasets, NFTs, software embedding, or mass automated generation without a separate extended license.

  • Use on unlimited or undisclosed channels is not allowed unless upgraded to a multi-user/studio license.

🛡 How the Buyer is Legally Safe:

  • Each purchase includes a License Certificate + Invoice, which works as legal proof in case of copyright claims (YouTube, Facebook, Instagram, etc.).

  • Toonyug maintains licensed user records, timestamps, and unique License IDs for verification during disputes.

  • If anyone falsely claims copyright on a licensed user’s content, Toonyug can help with proof and copyright clarification.

  • Since the assets are copyright-cleared and licensed, the buyer does not need to worry about fake strikes or demonetization.

  • The license is valid worldwide, and can be used in any country, platform, or media format.

📜 Terms of Use

The Licensee is granted a non-exclusive, non-transferable, worldwide license to use, modify, and adapt the above-mentioned Product in personal and commercial projects (including but not limited to videos, thumbnails, games, advertisements, or Animation projects).

Redistribution, resale, sharing, or re-packaging of the original or modified file as a standalone asset is strictly prohibited.

This certificate, along with purchase proof (Invoice / Order ID), serves as legal evidence of authorization in case of any copyright dispute on platforms such as YouTube, social media, or third-party marketplaces.

All intellectual property rights remain with the original creator and licensor, Toonyug.

Licensed assets may only be used on the approved channels/platforms at the time of purchase (e.g., up to 5 owned channels), and content collaboration is allowed on a maximum of 2 additional guest channels — only through final video uploads, not by sharing source files.

Sharing, reselling, or providing the original asset files to any third party, or using them on unauthorized channels beyond the allowed limit, is strictly prohibited.

⚖️ Legal Assurance

Toonyug maintains detailed server logs, buyer’s purchase history, and license records to verify authenticity in any dispute or copyright claim.

Fake copyright claims or misuse of this license are subject to action under Indian Copyright Act, 1957 and international copyright treaties (Berne Convention, WIPO).

2. Intellectual Property Ownership

All Characters, including but not limited to their design, animation sequences, and accompanying digital files, are the exclusive intellectual property of Toonyug, protected under the Indian Copyright Act, 1957 (Section 13) and, where applicable, registered trademarks under the Trade Marks Act, 1999. Toonyug retains all rights, title, and interest in and to the Characters.

  • Ownership Claim Prohibition: You may not claim ownership of the Character or any derivative works created therefrom. Any attempt to assert ownership or register the Character as your own intellectual property will be considered a breach of these Terms and may result in legal action under Section 63 of the Copyright Act, 1957, which prescribes penalties for copyright infringement.
  • Moral Rights: Toonyug reserves its moral rights to be identified as the creator of the Characters, as recognized under Section 57 of the Copyright Act, 1957.

3. Restrictions on Use

To ensure compliance with intellectual property laws and to protect the integrity of the Characters, the following restrictions apply:

  • Prohibited Actions: You shall not sublicense, sell, lease, assign, or distribute the Character independently or as part of any collection, package, or third-party product. Such actions are deemed unauthorized reproduction or communication to the public under Section 14 of the Copyright Act, 1957.
  • Legal Compliance: You may not use the Character in any manner that violates applicable laws (e.g., Indian Penal Code, 1860, or the Information Technology Act, 2000) or infringes upon the rights of third parties, including but not limited to defamation, obscenity, or unauthorized use of protected content.
  • Monitoring and Enforcement: Toonyug reserves the right to monitor usage and take legal action against violations, including seeking injunctions and damages as permitted under Section 55 of the Copyright Act, 1957.

4. Modifications

You are permitted to modify the Character to meet the specific requirements of your project, in accordance with the license granted. This flexibility is provided to enhance your creative freedom while respecting Toonyug’s ownership.

  • Distribution Prohibition: Notwithstanding any modifications, you may not distribute, sell, or otherwise make available the modified Character to third parties. Any such distribution will be treated as an infringement under Section 51 of the Copyright Act, 1957.
  • Attribution: Modified works must not misrepresent Toonyug as the creator of the modified version, preserving the company’s moral rights under Section 57.

5. Warranty and Liability

Toonyug provides the Characters on an “as-is” basis, and no warranties, whether express or implied, are offered regarding their suitability, performance, or fitness for a particular purpose. This disclaimer is consistent with the principles of the Sale of Goods Act, 1930, and the Consumer Protection Act, 2019, where applicable.

  • Limitation of Liability: Toonyug shall not be liable for any damages—direct, indirect, incidental, special, consequential, or exemplary—arising from the use, misuse, or inability to use the Character. This limitation is enforceable to the extent permitted by law under Section 73 of the Indian Contract Act, 1872, which caps liability for breach of contract.
  • User Responsibility: You assume full responsibility for any legal or financial consequences resulting from your use of the Character, including compliance with local laws and third-party rights.

6. Termination of License

Toonyug reserves the right to terminate this license immediately if you breach any of these Terms. Upon termination:

  • You must cease all use of the Character.
  • You must destroy all copies, including modified versions, in your possession.
  • Failure to comply may result in legal action, including claims for damages and injunctive relief under the Copyright Act, 1957.

7. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Delhi, India. This clause aligns with Section 20 of the Code of Civil Procedure, 1908.

Toonyug reserves the right to modify these Terms at any time. Any changes will be posted on this page with an updated revision date. Your continued use of the Characters after such modifications constitutes your acceptance of the revised Terms. Users are advised to review these Terms periodically.

10. Acknowledgment

By purchasing a Character, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions. This agreement constitutes a legally enforceable contract under the Indian Contract Act, 1872.
