1. Introduction :

Welcome to Toonyug. These Terms and Conditions govern your relationship with us as a vendor on our platform. By registering as a vendor, you agree to comply with these Terms.

2. Vendor Registration :

  • 2.1 To become a vendor, you must provide accurate and complete information during the registration process.
  • 2.2 You are responsible for updating your information to ensure its accuracy.
  • 2.3 We reserve the right to approve or reject any vendor application at our discretion.

3. Product Listings and Compliance :

  • 3.1 Vendors must list products with accurate descriptions, pricing, and images.
  • 3.2 All products must comply with applicable laws and regulations.
  • 3.3 Counterfeit, illegal, or prohibited items are strictly forbidden. 3.4 We reserve the right to remove or modify any listings that violate these Terms.

4. Payments and Fees :

  • 4.1 Vendors agree to the commission structure or fees as determined by the Company.
  • 4.2 Payments will be processed as per the agreed-upon schedule.
  • 4.3 The Company reserves the right to withhold payments for any disputes, chargebacks, or policy violations.

5. Returns, Refunds, and Cancellations :

  • 5.1 Vendors must comply with the return and refund policies set out by the Company.
  • 5.2 There is no provision for any refund on digital products. However, if the customer does not receive the product as promised or as shown, a refund must be given.
  • 5.3 Vendors are responsible for handling cancellations in line with Company policies.

6. Intellectual Property and Branding :

  • 6.1 Vendors grant the Company a non-exclusive, royalty-free license to use product images, descriptions, and trademarks for promotional purposes.
  • 6.2 Vendors must not use the Company’s branding without prior written consent.

7. Vendor Responsibilities and Conduct :

  • 7.1 Vendors must maintain professional conduct and high-quality service.
  • 7.2 Vendors must not engage in fraudulent, misleading, or unethical business practices.
  • 7.3 Any breach of these responsibilities may result in termination or suspension.

8. Indemnification :

Vendors agree to indemnify and hold harmless the Company from any claims, losses, liabilities, damages, or expenses arising out of their products, services, or breach of these Terms.

9. Termination and Suspension :

  • 9.1 The Company reserves the right to suspend or terminate a Vendor’s account for violations of these Terms or any applicable laws.
  • 9.2 Vendors may terminate their agreement with prior written notice and settlement of any outstanding obligations.

10. Limitation of Liability :

The Company shall not be liable for any direct, indirect, incidental, or consequential damages arising from vendor activities on our platform.

11. Governing Law and Dispute Resolution :
