1. Introduction

Welcome to ToonYug, a premier platform dedicated to empowering creators and vendors in the animated character marketplace. These Terms and Conditions ("Terms") establish the legal framework governing your relationship with ToonYug as a vendor on our platform (toonyug.com). By registering as a vendor, you agree to be bound by these Terms, which are designed to ensure a fair, transparent, and compliant ecosystem. These Terms are aligned with the Information Technology Act, 2000, the Consumer Protection Act, 2019, and other applicable Indian laws, with provisions extended to international vendors under relevant jurisdictions. 2. Vendor Registration

  • 2.1 Eligibility and Application To become a vendor, you must complete the registration process by providing accurate, current, and complete information, including but not limited to your business name, contact details, tax identification number (e.g., GSTIN), and legal entity status. All submissions must comply with the Digital Personal Data Protection Act, 2023 (upon enforcement).
  • 2.2 Account Maintenance You are solely responsible for maintaining the accuracy and timeliness of your registered information. Prompt updates are required for changes in contact details, business status, or payment preferences to ensure seamless operations.
  • 2.3 Approval Discretion ToonYug reserves the absolute right to approve, reject, or suspend any vendor application at its sole discretion, based on compliance with these Terms, legal requirements, or platform integrity. Rejection notifications, if provided, will include reasons where applicable.

3. Product Listings and Compliance

  • 3.1 Listing Standards Vendors must create product listings with precise descriptions, competitive pricing, high-quality images, and relevant metadata (e.g., character attributes, usage rights). Listings must reflect the actual product delivered.
  • 3.2 Legal Compliance All products must adhere to applicable laws and regulations, including the Copyright Act, 1957, Trade Marks Act, 1999, and international intellectual property standards (e.g., Berne Convention). Non-compliance may result in immediate delisting.
  • 3.3 Prohibited Items Counterfeit, illegal, or prohibited items (e.g., pirated content, offensive material) are strictly forbidden. Violations will lead to account suspension and potential legal action under Section 63 of the Copyright Act, 1957.
  • 3.4 Moderation Rights ToonYug reserves the right to remove, modify, or restrict any listing that breaches these Terms, infringes third-party rights, or poses a risk to platform reputation, with notice provided where feasible.

4. Payments and Fees

  • 4.1 Commission Structure Vendors agree to the commission rates or service fees outlined by ToonYug, which will be clearly communicated during onboarding and updated periodically. Current rates are accessible via the vendor dashboard.
  • 4.2 Payment Schedule Payments will be processed according to the agreed-upon schedule (e.g., monthly or bi-weekly), subject to successful transaction settlement and compliance with platform policies.
  • 4.3 Withholding and Adjustments ToonYug reserves the right to withhold payments in cases of disputes, chargebacks, fraud investigations, or policy violations. Funds will be released upon resolution, with interest (if applicable) as per the Interest Act, 1978.

5. Returns, Refunds, and Cancellations

  • 5.1 Policy Adherence Vendors must strictly comply with ToonYug’s return and refund policies, detailed in the vendor guidelines, ensuring customer satisfaction and legal conformity under the Consumer Protection Act, 2019.
  • 5.2 Digital Product Refunds Refunds for digital products (e.g., animated characters) are not provided under standard conditions. However, if a customer does not receive the product as promised (e.g., mismatched attributes or non-delivery), a full refund must be issued within 7 business days.
  • 5.3 Cancellation Management Vendors are responsible for handling cancellations in alignment with company policies, notifying customers promptly, and coordinating with ToonYug support for resolution.

6. Intellectual Property and Branding

  • 6.1 License Grant Vendors grant ToonYug a non-exclusive, royalty-free, worldwide license to use product images, descriptions, trademarks, and related content for promotional, marketing, and platform enhancement purposes, as permitted under Section 30 of the Copyright Act, 1957.
  • 6.2 Brand Usage Restrictions Vendors must not use ToonYug’s branding, logos, or intellectual property without prior written consent, violating which may constitute trademark infringement under the Trade Marks Act, 1999.

7. Vendor Responsibilities and Conduct

  • 7.1 Professional Standards Vendors must uphold exemplary conduct, delivering high-quality products and services, and maintaining positive customer interactions.
  • 7.2 Ethical Practices Engagement in fraudulent, misleading, or unethical practices (e.g., false advertising, data manipulation) is prohibited. Breaches will be investigated under the Indian Penal Code, 1860, and platform policies.
  • 7.3 Consequences of Breach Any violation of these responsibilities may result in account termination, suspension, or legal action, with prior notice unless immediate action is required for safety or legality.

8. Indemnification

Vendors agree to indemnify, defend, and hold harmless ToonYug, its affiliates, officers, and employees from any claims, losses, liabilities, damages, or expenses (including legal fees) arising from:

  • Your products, services, or business operations.
  • Breach of these Terms or applicable laws.
  • Third-party claims related to intellectual property infringement or customer disputes. This clause is enforceable under Section 124 of the Indian Contract Act, 1872.

9. Termination and Suspension

  • 9.1 Company Rights ToonYug reserves the right to suspend or terminate a vendor’s account with immediate effect for violations of these Terms, applicable laws, or platform policies, with written notice provided where practicable.
  • 9.2 Vendor Termination Vendors may terminate their agreement by submitting a 30-day written notice via the vendor portal, settling all outstanding obligations (e.g., commissions, refunds) prior to closure.
  • 9.3 Post-Termination Upon termination, vendors must cease using ToonYug services, and any pending transactions will be finalized as per policy.

10. Limitation of Liability

ToonYug shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from vendor activities on the platform, including but not limited to lost profits, data loss, or business interruption. Liability is limited to the extent permitted by law under Section 73 of the Indian Contract Act, 1872, and excludes force majeure events.

11. Governing Law and Dispute Resolution

  • 11.1 Jurisdiction These Terms are governed by the laws of India, with exclusive jurisdiction vested in the courts of New Delhi, India, as per Section 20 of the Code of Civil Procedure, 1908.
  • 11.2 Dispute Resolution Any disputes shall first be addressed through amicable negotiation. If unresolved within 30 days, they will be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, conducted in New Delhi by a sole arbitrator appointed by ToonYug.

12. Amendments and Modifications

ToonYug reserves the right to amend these Terms at any time to reflect legal, operational, or platform changes. Significant updates will be notified via email, the vendor dashboard, or website posting, with an updated "Last Updated" date. Vendors will have 15 days to review and accept changes; continued use thereafter constitutes consent.
